Terms & Conditions: Author Websites

You are hiring MacMillan Design to design and develop an author website for the price outlined in your proposal, invoice, or service agreement.

As our customer, you have the power and ability to enter into this contract on behalf of your company or organization. You agree to provide our team with everything that we need to complete the project including company details, proprietary images, specialized fonts and logos, and other information as and when needed, and in the format we ask for. You agree to review our work, provide feedback, and sign-off approval in a timely manner and are bound by any deadlines that we set together. You also agree to keep to the payment schedule set out in your proposal, invoice, or service agreement.

We have the experience and ability to perform the services you need and will carry them out in a professional and timely manner. We will endeavor to meet all the deadlines as set but are not responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved our work on time at any stage. We will also maintain the confidentiality of any information that you provide.

Details of the Works

We will create a well-researched design for the look, layout, and functionality of your author website. This contract includes three initial design concepts and two opportunities for you to make revisions to the selected design. If you are not happy with the design at that point, we will provide you with an additional quote for the extra design work needed to complete your project to your further satisfaction. If instead, you wish to cancel our agreement, you may do so and we will retain the initial payment for the work completed to date.

HTML/CSS Layout Templates

We will develop using the WordPress platform, valid HTML5 markup, and CSS3 for styling. We will test all our markup and CSS in current versions of all major browsers including those made by Apple, Microsoft, Mozilla, Google, and Opera. We will also test to ensure that pages will display visually in a similar—not necessarily an identical—way on mobile devices.

I will not test these templates in old or abandoned browsers, for example, Microsoft Internet Explorer 5, 5.5, 6, or 7 for Windows or Mac, previous versions of Apple’s Safari, Mozilla Firefox or Opera unless otherwise specified.

Photographs

If needed, you will supply us with photographs in digital, and will be fully responsible for acquiring the copyright for those assets you provide to us. We will purchase and use Stock photography and imagery from various online stock vendors and place them in your design according to the quantity allotted in your chosen package. We will maintain our licenses with these stock providers and the license will pass to you upon final payment, for use only on your website.

Any stock imagery or video we use on the design of your site can be used by you only on the website for as long as needed. You do not have rights to use that imagery in any other media or product unless you purchase those rights from Getty Images. Any imagery we provide to you on your website will be available for use for the life of your website under our license with our Stock vendors.

Changes and Revisions

The estimate/quotation prices in your proposal, invoice, or service agreement are based on the time we estimate we will need to accomplish your site build under normal circumstances. If you approve content or designs, but then wish to change your mind at a later stage, add extra pages or content, or even add new functionality, that won’t be a problem. At that time you will be provided with an additional time and cost quote for the extra work.

During many portions of your project, you will be required to provide feedback and approval to move the project forward. While waiting on your responses, your timeline is paused and not counted in the overall timeline.

MacMillan Design dba Clyck reserves the right to pause your project if you do not provide complete feedback within seven (7) days of a request at any point in the project, as such delays can harm other client timelines. In such situations, your project will be paused and re-queued at a later date for a fee of $150.

Technical Support

As agreed, the quote provided includes the implementation of Google Analytics and Google Search Console on your site.

We do not include technical support for email, your computer, or third-party services such as ActiveCampaign or Kajabi. If you do require help with such services, we are happy to provide a quote on a case-by-case basis.

You are responsible for any plugins you add to your WordPress installation. If you need assistance installing or debugging third-party plugins you have purchased or installed on your site, we are happy to provide a quote on a case-by-case basis.

For all package websites, we provide 3 months of support for one hour of support each month in the first year of your site. If you would like ongoing support, we provide 1 hour of support each month in three-month packages of $150 invoiced every three months.

Legal

MacMillan Design is not liable to you or any third party for damages, including lost profits, lost savings, or other incidental, consequential or special damages arising out of the operation of or inability to operate this website and any other web pages—even if you have advised me of the possibilities of such damages.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Copyrights

You guarantee to me that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide me for inclusion in the website are either owned by you or that you have permission to use them.

When we receive your final payment, copyright is automatically assigned as follows:

You own the graphics and other visual elements that I create for you for this project. We will give you a copy of all files and you should store them carefully as we are not required to keep them or provide any native source files that I used in making them after one year.

Any iStockPhoto imagery or video we use on the design of your site can be used by you only on the website for as long as needed. You do not have rights to use that imagery in any other media or product unless you purchase those rights from Getty Images.

You also own text content, photographs, and other data you provided unless someone else owns them. We own any MacMillan Design custom plugins or code that we use on your site and license it to you for use on only this website.

We also reserve the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles, and books.

Timeline

Project timelines begin upon the completion and receipt of your client questionnaire as provided by your project manager.

Payments

All projects are queued on a first-come-first-serve basis, as determined by the receipt of the initial payment.

As agreed, our payment schedule will be as follows but may be revised based on further conversations between us and reflected in your proposal, invoice, or service agreement.

50% of the total fee upon signing your proposal, invoice, or service agreement.

50% of total fee on completion of the site build (whether or not you decide to launch at that time).

OR You can receive a 10% discount on your total cost by paying your entire package cost at once. Please let us know if you wish to do that.

Interest accrued if payment is more than 30 days late. We reserve the right to add 5% of any outstanding balance every 7 days, starting from 31st day after receipt of the finished product.

You cannot transfer this contract to anyone else without permission from MacMillan Design. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
